Terms and Conditions
1. Introduction
1.1 These Terms and Conditions (hereinafter referred to as "Terms") govern the provision of engineering and construction consultation services by Anka Group Limited (hereinafter referred to as "Anka Group," "we," "our," or "us") to our clients (hereinafter referred to as "Client," "you," or "your").
1.2 By engaging our services, you agree to be bound by these Terms. Please read them carefully before engaging our services.
2. Services
2.1 Anka Group agrees to provide engineering and construction consultation services (the "Services") as outlined in the agreed-upon proposal or contract.
2.2 Anka Group will perform the Services in a professional and timely manner, adhering to industry standards and best practices.
3. Fees and Payment
3.1 Client agrees to pay Anka Group the fees as specified in the proposal or contract.
3.2 Payment terms are as follows:
Invoices are due within [30 days] from the date of the invoice.
3.3 Late payments may be subject to interest charges at a rate per month or the maximum allowable by law, whichever is lower.
4. Confidentiality
4.1 Both parties agree to maintain the confidentiality of any proprietary, sensitive, or confidential information disclosed during the course of the Services.
5. Intellectual Property
5.1 Anka Group retains all intellectual property rights to any work, documents, or materials produced during the provision of the Services.
5.2 Client may use these materials solely for the purpose for which they were provided and may not reproduce, distribute, or disclose them to third parties without prior written consent from Anka Group.
6. Termination
6.1 Either party may terminate the Services with written notice if the other party breaches any material provision of these Terms, and the breach remains uncured for [30 days] following written notice.
6.2 In the event of termination, Client shall pay Anka Group for all Services performed up to the date of termination.
7. Limitation of Liability
7.1 Anka Group's liability for any claim, whether in contract, tort, or otherwise, arising out of or in connection with the Services, shall not exceed the total fees paid by the Client.
7.2 Anka Group shall not be liable for any consequential, indirect, or special damages, including but not limited to lost profits or business interruptions.
8. Governing Law and Dispute Resolution
8.1 These Terms shall be governed by and construed in accordance with the laws of Hong Kong.
9. Entire Agreement
9.1 These Terms constitute the entire agreement between the parties and supersede all prior agreements and understandings, whether written or oral.
10. Amendments
10.1 These Terms may only be amended in writing and signed by both parties.
